| Report deadline | Filed annually between January 1 and September 30. A company's FIRST annual report is due the year FOLLOWING formation — an LLC formed in 2026 files nothing until 2027. This replaced the former decennial report starting with reporting year 2025 (15 Pa.C.S. 146). |

| Administrative dissolution | Failure to file exposes the LLC to administrative dissolution and loss of exclusive rights to its registered name. Verified against the official state page
- CONFIRMED (10 Sep 2026). The Department of State states plainly: 'A company's first annual report is due the year following its formation.' So a 2026-formed LLC owes $125 in year one, not $132.
- HIGH VALUE: PA switched decennial -> annual from 2025. Dissolution for non-filers begins only with reports missed in 2027; nothing missed in 2025-26 triggers it.
- Fee is $7 for LLCs, corporations, LPs and LLPs alike.
