Report fee$7
Report deadlineFiled annually between January 1 and September 30. A company's FIRST annual report is due the year FOLLOWING formation — an LLC formed in 2026 files nothing until 2027. This replaced the former decennial report starting with reporting year 2025 (15 Pa.C.S. 146).
Late penaltyNo specific monetary late fee for a missed annual report.
Administrative dissolutionFailure to file exposes the LLC to administrative dissolution and loss of exclusive rights to its registered name. PHASED IN: non-filers face dissolution only for reports not filed starting in 2027 - no dissolution risk for reports missed in 2025-2026 during the transition.
State taxNo franchise tax / capital stock tax applies to LLCs (Pennsylvania's capital stock/franchise tax was phased out). Not re-verified against a PA Dept. of Revenue page.

What we're less sure about

Verified against the official state page

  • CONFIRMED (10 Sep 2026). The Department of State states plainly: 'A company's first annual report is due the year following its formation.' So a 2026-formed LLC owes $125 in year one, not $132.
  • HIGH VALUE: PA switched decennial -> annual from 2025. Dissolution for non-filers begins only with reports missed in 2027; nothing missed in 2025-26 triggers it.
  • Fee is $7 for LLCs, corporations, LPs and LLPs alike.
